  6. Notification: In the event that SwitchCrew terminates or suspends your account, we will strive to provide a timely notification, unless legally prohibited from doing so.
  7. Reactivation: Depending on the reasons for termination or suspension, users may be allowed to reactivate their account. This will be at the discretion of SwitchCrew and may require a user to correct the behavior that led to the termination or suspension.

Users acknowledge and agree that all terminations for cause shall be made in SwitchCrew's sole discretion and that SwitchCrew shall not be liable to you or any third party for any termination of your account, or access to the SwitchCrew services.

 

Governing Law and Jurisdiction

  1. Governing Law: These Terms and Conditions and your use of the SwitchCrew services shall be governed by and construed in accordance with the laws of Mississippi, United States, without giving effect to any principles of conflicts of law.

Jurisdiction: You agree that any legal action or proceeding between you and SwitchCrew LLC that pertains to or arises out of the use of our services, this website, or these Terms and Conditions, shall be brought exclusively in a federal or state court of competent jurisdiction sitting in Mississippi, United States.

  6. Enforceability: If any part of this section is ruled to be unenforceable, then the balance of this section shall remain in full force and effect and construed and enforced as if the portion ruled unenforceable were not contained herein.

Dispute Resolution

  1. Informal Resolution: Before filing a claim against SwitchCrew, you agree to try to resolve the dispute informally by contacting support@switchcrew.com. We'll try to resolve the dispute informally by contacting you via email. Most disputes can be resolved in this manner.
  2. Formal Dispute Resolution: If we are not able to resolve the dispute informally within 90 days, either party may begin formal arbitration proceedings.
  3. Arbitration Agreement: You and SwitchCrew agree to resolve any claims relating to these Terms or the services through final and binding arbitration, except as set forth under Exceptions to Agreement to Arbitrate below.
  4. Arbitration Process: The arbitration will be conducted by a neutral arbitrator in accordance with the rules that are in effect at the time arbitration is initiated, as chosen by the arbitrator or arbitration provider. You and SwitchCrew agree to abide by the arbitrator's decision and award.
  5. Exceptions to Agreement to Arbitrate: Either party may bring a lawsuit solely for injunctive relief to stop unauthorized use or abuse of the services, or intellectual property infringement without first engaging in arbitration or the informal dispute-resolution process described above.
  6. No Class Actions: You may only resolve disputes with us on an individual basis and may not bring a claim as a plaintiff or a class member in a class, consolidated, or representative action.
  7. Judicial Forum for Disputes: In the event that the agreement to arbitrate is found not to apply to you or your claim, you and SwitchCrew agree that any judicial proceeding will be brought in the federal or state courts of Mississippi, United States. Severability: If any provision of these Terms and Conditions is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms and Conditions will continue in full force and effect. The invalidity or unenforceability of any provision of these Terms and Conditions shall not affect the validity or enforceability of any other provision.
  2. Waiver: The failure of SwitchCrew to enforce any right or provision of these Terms and Conditions will not be deemed a waiver of such right or provision. A waiver by SwitchCrew of any default shall not constitute a waiver of any subsequent default. No waiver by SwitchCrew is effective unless it is communicated to you in writing.
  3. Amendments: No modification or amendment of any provision of these Terms and Conditions shall be effective unless in writing and signed by an authorized representative of SwitchCrew.
  4. Continued Effect: The provisions of these Terms and Conditions that by their nature should survive termination will survive termination, including, but not limited to, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

This Severability and Waiver section will endure any termination or expiration of your use of the SwitchCrew services or these Terms and Conditions.

 

Acknowledgment of Understanding

 

By accessing and using the services provided by SwitchCrew LLC, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. This acknowledgment includes, but is not limited to, all policies and procedures mentioned herein:

  • You understand that these Terms constitute a binding agreement between you and SwitchCrew LLC.
  • You acknowledge that you have read the entire document and understand each provision within these Terms.
  • You agree to comply with all the rules, obligations, and responsibilities set forth in these Terms and Conditions.
  • You acknowledge that these Terms represent the entire understanding between you and SwitchCrew LLC regarding your use of the service and supersede all previous and contemporaneous written or oral agreements between you and SwitchCrew.
  • You confirm that you are legally competent to enter into these Terms and Conditions and have no reason why you cannot bind yourself legally to these terms.

This acknowledgment of understanding is a reaffirmation of your agreement and acceptance of these Terms and Conditions as a whole. Any use of the SwitchCrew services constitutes continued acceptance of these Terms.
